GOLD BASIN RESOURCES CORP.
On May 6th, 2025 Gold Basin Resources Corp. (“Gold Basin”) was subject to a cease trade order by the British Columbia Securities Commission for failure to file audited financial statements. The Company lacked responsible leadership, was delinquent in multiple corporate requirements, was heavily in debt, and facing multiple lawsuits.
On February 10th, 2026, after a lengthy take over bid process, CANEX Metals announced 52% of the shares of Gold Basin were tendered to the CANEX take over bid, and CANEX was the controlling shareholder of Gold Basin.
Since becoming the controlling shareholder CANEX has worked diligently to bring Gold Basin back from the deficient state it was in under previous management. To date CANEX has:
- Re-established the transfer agent
- Settled some of the lawsuits
- Held a long overdue Annual General Meeting
- Replaced the previous board and management with an entirely new team that will get things done
- Appointed Manning Elliott LLP as Auditor
- Started to work on audited financials
- Initiated forensic accounting into prior agreements and use of funds
CANEX intends to call a special meeting of Gold Basin Shareholders for the purpose of, among other things, seeking shareholder approval for a subsequent acquisition transaction to complete the privatization of Gold Basin and acquire all Gold Basin Shares not already owned. Following the successful completion of such subsequent acquisition transaction, CANEX intends to cause Gold Basin to apply to the TSX Venture Exchange (the “TSXV”) to delist the Gold Basin Shares from the TSXV and, if permitted by applicable law, cause Gold Basin to cease to be a reporting issuer (or equivalent) under applicable Canadian securities laws.

Dr. Ebert is a geologist with over 30 years of gold, copper, and base metal exploration experience in North America, South America, Australia, and Europe. Dr. Ebert is President and CEO and Director of CANEX Metals, President and Director of Surge Copper Corp. and a director of Jade Leader Corp.
Mark Ernst BA, CFA, Independent Director
Mr. Earnst is a Chartered Financial Analyst with over 20 years of capital markets experience at Canadian and Global investment banks and has completed equity and debt financings for a broad range of public and private Canadian companies. Mr. Earnst is currently Managing Director of Origin Merchant Partners and was formerly Managing Director and Head of Institutional Equity Sales at CIBC World Markets where he managed equity sales teams in Toronto, Montreal, Vancouver, New York and Hong Kong and was part of the Equity Capital Markets Operating Committee. Mr. Earnst is highly experienced in public and private company financings and M&A transactions.
Jim Paterson Independent Director
Mr. Paterson is an entrepreneur with 23 years of corporate development experience in the mining industry, including capital raises, acquisitions, joint-ventures, spin-outs, RTOs, and IPOs. He was a driving force behind $80 million in equity financing for ValOre Metals, which led to multiple discoveries at the Pedra Branca PGE project. He was a long-standing and active director of Kaminak Gold Corp. (acquired by Goldcorp.) and founding director of Northern Empire Resources Corp. (acquired by Coeur Mining). He founded Corsa Capital in 2007, and a 2010 transaction created an industry-leading metallurgical coal producer with a C$250M market capitalization. In addition to being the Chairman and CEO of ValOre Metals, Jim is a Director of K2 Gold and acts as a Strategic Advisor to Kodiak Copper and Prospector Metals.
John Robins BSc., Independent Director
Mr. Robins is a geologist with a highly decorated and successful carer spanning over 35 years. Mr. Robins has been recognized for 3 prestigious awards in the fields of exploration discover and exploration finance. Mr. Robins has been involved in the discovery of the 5M oz Coffee Gold deposit in Yukon, the Three Bluffs gold deposit in the Committee Bay greenstone belt, the Aviat / Churchill diamond districts of Nunavut, and the Great Bear project in north-western Ontario. Mr. Robins has been instrumental in over CDN$3B in M&A activity and has generated over $1B in direct and indirect mineral expenditures throughout Canada, Latin America, and Australia. He currently acts as the Chairman of K2 Gold Corp. and is a Strategic Advisor to Defense Metals Corp., Kodiak Copper Corp., ValOre Metals Corp., CopperEx Resources Corp., and Prospector Metals Corp.
Jordan Ross Independent Director
Mr. Ross has a law degree from Bond University and is a strategic executive with a history of driving growth and innovation in technology. With over a decade of experience in corporate development, strategy, and law, Mr. Ross brings specialized knowledge in mergers and acquisitions, due diligence, and corporate law.

Jean Pierre Jutras Vice President
Mr. Jutras, a professional mineral exploration geologist, has over 35 years experience in the exploration industry and has worked in over 15 countries on four continents, with numerous public companies including Placer dome, Prism Resources, Golden Star Resources and Jade Leader Corp. He was the President and a Director of Tyler Resources Inc. from 2001 until March 2008 when Tyler was acquired by Jinchuan Group Ltd. of China for Cdn $214 million. Mr. Jutras is currently Vice President and Director of CANEX Metals and President and Director of Jade Leader Corp.
Chantelle Collins CPA, CGA, Chief Financial Officer
Ms. Collins holds a Bachelor's degree in Accounting and is a member of the Chartered Professional Accountants Association of BC (CPA, CGA). Ms. Collins has over 12 years’ experience working in the public sector and is well versed in the financial reporting requirements of public companies and currently serves as an officer for three other public Companies.
Barbara O’Neill Corporate Secretary
Ms. O’Neill has been Corporate Secretary for a number of TSX and TSX Venture Corporations primarily in the mining industry, both nationally and internationally, for the last 33 years. She has extensive experience in public offerings, public listings and Exchange matters, share and asset acquisitions and dispositions, restructurings, securities regulatory requirements for public issuers and other related business transactions. She is currently Corporate Secretary of Jade Leader Corp. and CANEX Metals Inc.
